1. About this agreement
This End-User License Agreement ("EULA") is between you and Bismarck Ndou ("we", "us") and applies to software you access through the Bismarck Ndou store on Whop, including hosted apps such as Web Scraper and MCP Server, trading bots and strategies, and any scripts, tools, or downloadable software we provide ("the Software"). By accessing, installing, or using the Software, you agree to this EULA. If you do not agree, do not use the Software.
Custom code we build specifically for you under a paid development project is covered by our Terms of Service, under which you own that custom code once paid in full. This EULA applies to our own products and to any pre-existing tools and libraries we include in your deliverables.
2. Licence granted
Subject to this EULA and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Software for your own personal or internal business purposes, for as long as your access on Whop remains active. Free products are licensed on the same terms at no charge.
3. Restrictions
You may not: resell, sublicense, rent, share, or redistribute the Software or your access to it; share login details or access keys with others; copy, modify, decompile, reverse engineer, or create derivative works except where the law expressly permits it; remove copyright or ownership notices; use the Software to build a competing product; or attempt to bypass usage limits, licence checks, or security measures.
4. Acceptable use
You must use the Software lawfully. In particular, you are solely responsible for making sure that any websites you scrape, data you collect, and services you connect to are used in line with their terms of service, robots.txt rules, applicable data-protection and privacy laws, and copyright law. You must not use the Software to send spam, overload or attack systems, collect personal data unlawfully, or commit fraud or market manipulation. We may suspend access if we reasonably believe the Software is being misused.
5. Ownership
The Software is licensed, not sold. We and our licensors keep all rights, title, and interest in the Software, including all updates and intellectual property. Open-source components remain subject to their own licences, which take precedence for those components.
6. Your data
You keep ownership of the data you put into or generate with the Software. You give us permission to process it only as needed to run and support the Software. We do not sell your data.
7. Updates and availability
We may update, change, or discontinue features of the Software at any time. Hosted Software is provided on a reasonable-effort basis and may occasionally be unavailable for maintenance or because of third-party outages. Premium features or usage tiers may require a paid subscription, as described on the product listing.
8. Third-party services
The Software may rely on or connect to third-party websites, APIs, exchanges, brokers, hosting, or AI models. We do not control them and are not responsible for their availability, accuracy, fees, or changes to their terms.
9. Trading software
Trading bots, strategies, signals, and related tools are software only and are not financial, investment, or trading advice. Trading involves substantial risk, including the loss of all capital. We do not guarantee any profit or performance; backtests and past results do not predict future results. You are solely responsible for configuring the Software, for your trading decisions, for securing your exchange or broker API keys, and for any losses.
10. Disclaimer of warranties
To the extent permitted by law, the Software is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose, accuracy of results, or uninterrupted or error-free operation.
11. Limitation of liability
To the extent permitted by law, we are not liable for any indirect, incidental, or consequential damages, including lost profits, trading losses, lost data, or business interruption. Our total liability for any claim relating to the Software is limited to the amount you paid for it in the 12 months before the claim, or USD 50 for free products.
12. Termination
This licence ends automatically if you breach this EULA or when your access on Whop ends (for example, through cancellation or non-payment). When it ends, you must stop using the Software and delete any copies. Sections 3 to 5 and 8 to 14 continue to apply after termination.
13. Refunds
Refunds for paid Software are handled under our Refund Policy.
14. Governing law and changes
This EULA is governed by the laws of Zimbabwe. We may update this EULA from time to time; continued use of the Software after an update means you accept the updated version. Questions: message us on Whop or email [email address shown when the page loads].
